These Affiliate Program Terms and Conditions ("Affiliate Terms") govern your participation in the FlashOne.ai Affiliate Program ("Program") operated by FlashOne.ai LLC ("Company," "we," "our," "us"). By registering for or participating in the Program, you ("Affiliate," "you," "your") agree to be bound by these Affiliate Terms, our Terms of Service, and our Privacy Policy.
Upon approval, you will receive a unique referral code and link. You are responsible for using only approved referral links provided through the FlashOne.ai platform. Any attempt to modify, manipulate, or create unauthorized referral links is strictly prohibited.
A valid referral occurs when a new user:
Self-referrals (referring your own accounts) are not permitted and will result in immediate disqualification from the Program.
You will earn a commission on each qualifying referral's first paid subscription. The commission rate is set by the Company and communicated to you at the time of registration or via the affiliate dashboard. The Company reserves the right to modify commission rates at any time with 30 days' prior notice.
If applicable, recurring commissions may be earned on subsequent subscription renewals by referred users. Recurring commission eligibility, rates, and duration are determined by the Company and displayed in your affiliate dashboard.
Recurring commissions are subject to a loyalty verification period. If a referred user cancels their subscription or requests a refund within the verification period, the associated commission may be revoked or adjusted.
Affiliate payouts are processed through Stripe Connect. You must complete Stripe's onboarding process, including identity verification and bank account setup, to receive payments. The Company is not responsible for delays caused by incomplete or inaccurate Stripe account information.
Payouts are issued when your accumulated earnings reach the minimum payout threshold of $25.00 USD. Balances below this threshold will carry over to the next payout cycle.
Payouts are processed at the Company's discretion, typically on a monthly basis. The Company reserves the right to hold payouts for up to 60 days to account for potential refunds, chargebacks, or fraud investigations.
All commissions are calculated and paid in US Dollars (USD).
You are solely responsible for reporting and paying all applicable taxes on your affiliate earnings. For U.S.-based affiliates, Stripe may collect tax information (such as a W-9 form) as required by law. If you earn $600 or more in a calendar year, a Form 1099 may be issued. The Company does not provide tax advice; consult a qualified tax professional regarding your obligations.

In accordance with the U.S. Federal Trade Commission (FTC) guidelines, you must clearly and conspicuously disclose your affiliate relationship with FlashOne.ai in all promotional materials. For example, include a statement such as: "I earn a commission if you sign up through my link."
FlashOne.ai grants you a limited, non-exclusive, non-transferable, revocable license to use our name and approved marketing materials solely for the purpose of promoting FlashOne.ai through the Program. You may not modify our trademarks or create derivative works without written permission. All intellectual property rights in FlashOne.ai remain with the Company.
Your participation in the Program begins upon acceptance of your application and continues until terminated by either party.
You may terminate your participation at any time by contacting us at affiliates@flashone.ai. Any unpaid commissions above the minimum threshold that have passed the holding period will be paid in the next payout cycle.
We may suspend or terminate your participation at any time, with or without cause, including but not limited to:
Upon termination for cause, the Company reserves the right to withhold any unpaid commissions.
The Company employs monitoring systems to detect fraudulent or abusive activity. If fraud or abuse is suspected, we may:
Examples of fraud include but are not limited to: self-referrals, fake accounts, manipulated traffic, use of bots, and misrepresentation of referral sources.
To the maximum extent permitted by law, FlashOne.ai LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program. Our total liability shall not exceed the total commissions paid to you in the 12 months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless FlashOne.ai LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your participation in the Program, your promotional activities, or your violation of these Affiliate Terms.
You are an independent contractor, not an employee, partner, agent, or joint venturer of FlashOne.ai LLC. Nothing in these Affiliate Terms creates an employment, agency, or partnership relationship. You have no authority to bind the Company or make commitments on its behalf.
We reserve the right to modify these Affiliate Terms, commission rates, or any aspect of the Program at any time. Material changes will be communicated via email or through your affiliate dashboard with at least 30 days' notice. Continued participation in the Program after changes take effect constitutes your acceptance of the updated terms.
These Affiliate Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English. The prevailing party shall be entitled to recover reasonable attorneys' fees.
If any provision of these Affiliate Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
These Affiliate Terms, together with our Terms of Service and Privacy Policy, constitute the entire agreement between you and FlashOne.ai LLC regarding your participation in the Affiliate Program, superseding all prior agreements or understandings.
